Founder Conflict of Interest & Recusal Policy

Procedural integrity for the dual-role structure

§ I

Purpose

This Policy establishes procedures to manage conflicts arising from the Founder's dual role as Foundation steward and operator of an IP licensing company. It documents the specific recusal and disinterested-approval procedures that apply when the two roles intersect.

§ II

Disclosure

The Founder discloses a financial and operational interest in one or more entities licensing Foundation IP. The current entity structure is documented in the Structural Transparency .

§ III

Recusal

The Founder shall recuse from voting and final deliberation on:

  • Licenses to affiliated entities
  • Amendments affecting such licenses
  • Enforcement actions involving such entities

§ IV

Right to Inform

Recusal does not prohibit providing technical or contextual information at Board request.

§ V

Disinterested Approval

Conflicted matters require approval by disinterested directors and documentation of fairness.

§ VI

No Waiver

Failure to enforce once does not waive future enforcement.

§ VII

Future Transitions

Board members may later join licensees only after resignation. No contingent benefits implied.
