Structural transparency · principled-level disclosure
This page documents the commercial-side relationships the Foundation operates alongside. The framing principles are in the Structural Transparency Note; the specific arrangements are summarized here at the appropriate principled level.
The licensing entity
Logos IP Licensing LLC. A distinct legal entity that handles licensing of Foundation-stewarded IP under terms subordinate to the Source Code and the IP Custody Doctrine. The entity has a clean cap table and operates under standard commercial governance, with the structural constraint that it may not weaken Foundation custody.
Early capital arrangements
The licensing entity has accepted limited early capital from trusted partners on principled, structurally-bounded terms. The principled framing:
- Investor equity is in the licensing entity, not the Foundation
- Investor equity does not extend to future inventions or to Foundation-stewarded IP outside the entity's licensed scope
- Investor protections (downside) are paired with structural limits on equity expansion (cap-table discipline)
- No investor has governance authority over the Foundation or over the substrate IP
- Buyback rights are intentional, priced, and oriented toward enabling future strategic partners rather than early liquidation
Specific arrangements are documented in the entity's operating agreements. Updates to this summary will be published as the structure evolves.
Future vertical operating entities
Forthcoming. As specific substrate components reach the maturity required for dedicated commercial focus, separate vertical operating entities may be formed. Each new entity will be:
- Structured under the same custody-stewardship-license model
- Subject to Foundation oversight on substrate use
- Documented in updates to this page and the Structural Transparency Note
Counsel and external relationships
The Foundation engages external counsel for patent matters (specialized) and corporate / Foundation governance (engaged separately). Counsel relationships are documented for the purposes of the Foundation's records but not published at the individual-counsel level; the structural fact of engaged counsel is the relevant public information.
What this section is not
This page is not the full operating-agreement text of any commercial relationship. The principled-level summary is the appropriate level of public disclosure; full operating documents contain counterparty-confidential information that is not appropriate for public publication. The Foundation's structural transparency commitment is met by publishing the principled framing and the structural constraints, not by publishing private commercial terms.
